Representative Transactions

  • Represented a world famous celebrity entertainer in the negotiation and drafting of the contract documents for a limited liability company between our client and one of the nation's largest capital companies, as the managing member, into which our client contributed its famous ranch in Santa Barbara County for a membership interest in the limited liability company. The negotiations extended over a three-month period with multiple drafts of all contract documents and spirited negotiations between our office and a team of attorneys representing the managing member.
  • Represented a non-managing member of an LLC concerning property located at one of the most famous intersections in the world with respect to issues involved with the management of the limited liability company formed to develop a hotel on property contributed by our client, which property was encumbered with a $27,000,000 construction loan plus a $12,000,000 mezzanine loan.
  • Represented many homeowners with respect to the sale of high end residential estates including a client in the disposition of a residential estate appraised at approximately $80,000,000.
  • Represented a buyer in the negotiations for the purchase of a northern Los Angeles County ranch property for $110,000,000 to be paid over the phased development of the property. This involved the seller's private financing with partial releases for sold manufactured lots.
  • In addition to negotiating and drafting many tailored commission agreements and finder's fees, we represented an unlicensed finder in the negotiation of a finder's fee to be paid on close of the sale of a residential estate for over $25,000,000 cash to a buyer presented by the finder.
  • Represented a Downtown Los Angeles construction management limited liability company in litigation against a well-known Downtown developer to enforce a mechanics lien against the developer's multi-storied office building. As there were eight other mechanics lien actions also filed, we persuaded all counsel and the court to relate all actions. This ultimately led to the settlement of all claims without a trial.
  • Ongoing representation of a leading Culver City developer known for the unique and inspiring creative architecture of the buildings in its project. We served as real estate counsel in the preparation of a comprehensive lease form and tenant work letter based upon which we thereafter negotiated and drafted numerous commercial leases with tenants involved in the motion picture, music entertainment and creative arts industries, which included most every major movie studio. Almost every lease required significant tenant improvements, including in one instance the design and new construction of a free standing architecturally unique building, which were addressed in separately negotiated tenant work letters and construction contracts. Most tenants were represented by legal counsel and most leases were heavily negotiated.
  • Ongoing representation of a limited partnership in the orderly disposition of its over 800 Southern California real properties, most of which were co-owned with up to eight unrelated other parties. This required not only the negotiation of purchase contracts, exchange contracts and escrow instructions, but also negotiating with outside co-owners for their consent to the sale of each property in which the co-owner had an interest. Further, as general counsel to the partnership, we handled many encroachment disputes, change of ownership property tax disputes, brush clearance issues with county fire departments and several eminent domain actions.
  • In representing the limited partnership discussed above, many of its properties were acquired in tax sales and 1911 Act bond foreclosures. We cleared title to hundreds of these properties before they could be sold.
  • Represented several non-U.S. resident members of a well-known international family in separately acquiring various significant estate residences in Beverly Hills and Bel Air. We not only represented our clients in the purchase negotiations and escrow issues, but also counseled them with respect to issues involving real estate acquisitions by non-U.S. resident owners.
  • Represented the seller of a Westside estate with respect to resolving issues of mold remediation and eliminating sources of mold and buried oil receptor tanks discovered by inspections occurring after escrow was opened. This necessitated extensive negotiations with the buyer, the buyer's legal counsel and leading real estate agents involved in the transaction.
  • Ongoing representation of a family partnership landlord with respect to its lease to a well known San Fernando Valley country club tenant.
  • Representation of a CEO of an international company with respect to resolving a claim regarding land slippage from his property in Pacific Palisades onto a downslope property. The matter was resolved without litigation.
  • Represented the owner of mineral estates and mines containing gold and silver in the negotiation of mining leases for the extraction of these minerals and working of surface tailings.
  • Represented the owner of mineral estates involving oil and gas in the negotiation of oil and gas leases with major oil companies.
  • Represented the owner of an extreme hillside property in the Hollywood Hills in the negotiation and drafting of a construction contract for the development of a four-story residence with cantilevered swimming pool and represented the owner with ongoing issues that arose during construction.
  • Represented the owner of a Malibu beachfront property in obtaining a certificate of compliance for the previously divided property and thereafter in negotiating the construction contract for the project.
  • Drafted comprehensive insurable easement agreements in connection with the foregoing Malibu property giving one contiguous property owner easements for an entry gate, fencing, driveway and landscaping and the other contiguous property owner a view easement with defining height limitations.
  • Represented the CEO of a major music company as a purchaser in an escrow on a San Vicente adjacent property who suddenly had to move to New York and needed to cancel the escrow. The problem was that the developer of the estate had previously installed unique custom finishes selected by our client as part of the deal and the developer did not like those finishes. We were successful with canceling the escrow without penalty or loss of deposit or litigation.
  • Formed numerous limited liability companies, S corporations and C corporations for companies involved in real estate construction, mineral and artifact explorations, development, ownership and other non-real estate commercial businesses. We provide ongoing counsel to these clients, handle their private securities transactions and in some instances the dissolution of the entity.
  • Represented clients in many residential real estate purchase contracts and escrows, too numerous to list, and have been involved with inspection, repair, disclosure, failure to disclose, breach of contract, contract interpretation, commissions, finder's fee and cancellation issues, to name a few.
  • Represented clients in preparing their wills and trusts and counseling them on estate planning programs and represented individuals and entities in various unique real estate matters in Los Angeles, Orange, San Bernardino, Riverside, Ventura, Santa Barbara, San Luis Obispo and San Francisco counties including substitution of collateral, merger of titles, prescriptive extinguishment of an easement, ground leasing with subdivision map act issues, title conversions, tenant in common agreements, licensing issues with the California Contractors State License Board, a matter with the California Architects Board concerning use of the term "Architectural" by a non-architect and we represented several well known Hollywood clubs in sale and financing issues.
  • Litigated actions involving quiet title, removing a cloud on title, cancellation of instruments, breach of contract, fraud, establishing a resulting trust, declaratory relief and contract interpretation, affirmative and negative injunctions and probate litigation involving real estate issues.
  • Represented clients in various business and other matters including representing a group in Palos Verdes Estates in the purchase of a three mast Barkentine sailing ship chartered in Malta and chartering international cruises on the ship, representing a corporation based in Torrance in obtaining SEC approval of a Regulation A public offering which we also qualified in 14 states, including California, representing clients in San Marino/Pasadena in family law matters, representing a UCLA doctor in the successful negotiation and drafting of an Exclusive License Agreement with the Regents Of The University of California for an exclusive worldwide license to make and sell certain licensed products and to practice certain licensed methods and representing clients in copyright and trademark applications. Previously represented several police associations in labor negotiations with their government employer for a memorandum of understanding and many clients in probate, family law, personal injury, business litigation and criminal defense matters.
