We are highly experienced in negotiating sophisticated residential real estate transactions, closing escrows and working with difficult parties, escrows, principals, brokers, title officers and escrow officers. We know how to negotiate high end residential purchase agreements, implement the transaction through close of escrow and resolve any difficult or unanticipated issues including problems relating to: title, repairs, disclosures, inspections, due diligence, easements, mold, subsurface oil intrusion, encroachments, buyer financial issues, delays in closing due to extensive repairs, lender issues or the difficulty of foreign buyers to transfer closing funds to the U.S. We represented the owner in a successful luxury estate transaction that took three months to negotiate and involved a property valued today at over $100,000,000.00.

Homes, Luxury Estates and Land Purchase Transactions, Options.
We represent U.S. and international buyers and sellers, real estate agents, brokers and finders in transactions involving the purchase, sale and optioning of California residential properties including homes, luxury estates, condominium units and land. For sellers, we represent our clients from the listing agreement to negotiation of the purchase agreement and escrow instructions through the close of escrow and resolution of any escrow or post closing issues. For buyers, we represent our clients with preparing and negotiating the purchase agreement and escrow instructions, inspection and financing issues and the resolution of any escrow or post closing issues.

Private Secured Residential Financing.
We represent buyers financing their residential purchases, sellers who wish to carry back financing on the sale of their residences, homeowners who wish to refinance their residential loans and family members or private lenders making a consumer loan secured by a single family residence. For borrowers, we review and negotiate the loan documents and for lenders we draft and negotiate the loan documents and related escrows.
 
Luxury Residential Leasing.
We represent landlords and U.S. and international tenants leasing high end residential properties on a long term basis or for a few summer months. These include properties along the Santa Monica/Malibu through Santa Barbara coastal corridor and prime Beverly Hills/Bel Air/West Los Angeles locations. We know the areas and where to focus the negotiations. We protect our client's privacy with confidentiality and non-disparagement provisions. We use our own custom leases and are experienced negotiating and adapting the C.A.R. form lease used by most agents. Not only do we assist clients entering into a lease, but when necessary we assist them in terminating or existing a lease and dealing with security deposit returns and repair issues.
 
Deed Reservations and Reversions, Life Estates, Conditional Deeds.
We prepare deeds reserving various interests, deeds conveying life estates and conditional deeds subject to conditions subsequent and reversionary interests.

Real Estate Title Holding, Tenants In Common, Co-Ownership and Shared Occupancy Agreements.
We counsel clients on methods for holding record title to real estate and agreements between co-owners for for the management, maintenance, development, transfer and disposition of co-owned real estate. This includes Tenants-In-Common Agreements, transfers and Buy-Out Agreements between co-owners and Shared Occupancy Agreements for the occupancy and maintenance of special family residential properties including beach and ranch estates.

Land Easements, Solar/View Easements, CC&Rs.
For residential and commercial properties we negotiate and draft insurable, comprehensive easement grant deeds with easement maintenance/use agreements and grant deeds reserving easements. We have prepared easements for many purposes including mutual or exclusive right of way and roads, maintenance of utilities, solar and view protection, air rights, fences, landscaping, encroachments, slope support, sewers and entry gates. We have drafted easements in gross limited to specific persons, permanent easements that run with the land and temporary self expiring easements and revocable licenses. For restrictions on adjacent properties, we draft CC&Rs.

Neighbor Land Agreements For Party Walls and Boundaries.
We draft land related agreements between neighbors for new or existing party walls and boundary agreements to confirm or establish boundaries between adjacent parcels.

Tax Deferred 1031 Exchanges (Investment and Rental Properties), Multi-Property Exchanges.
We represent parties in tax-deferred 1031 exchanges involving residential investment and rental properties and commercial real estate, including delayed exchanges, reverse and construction exchanges, multi-property exchanges and exchanges with installment sales.

Letters Of Intent, Nondisclosure, Nondisparagement Agreements.
We prepare binding and nonbinding letters of intent for due diligence and contract negotiations prior to entering into a binding purchase contract. To protect the confidentiality of the information exchanged in the negotiations and due diligence and thereafter and the identities and reputation of parties to residential or commercial real estate transactions, we prepare Mutual Nondisclosure and Nondisparagement Agreements which can be drafted as a separate contract or combined with Letters Of Intent.

Construction, Architecture, Interior Design, Design-Build Of Luxury Estates and Condominium Units.
With our hands-on construction background, we provide legal counsel to builders, property owners, contractors, architects, engineers and designers involved in the development, new construction, expansions, remodels, architectural and interior/exterior design, design-build and complete furnishing and decorating of residential estates and estate compounds and luxury condominium units.

Commission and Finder Fee Agreements.
We represent properly licensed real estate brokers and agents and unlicensed finders in connection with contracting for and securing compensation for bringing a buyer, seller, tenant or joint venturer to a real estate transaction or arranging for real estate financing. This includes receiving compensation at the close of escrow or at the back end of the project.
